Terms

These terms are the agreement between you and OnRecord. Using OnRecord, whether you create agreements or confirm one someone sent you, means you accept them, along with the Privacy Policy and the Refund Policy.

1. Who you are dealing with

OnRecord is operated by Shamil Bedru, trading as OnRecord. Notices to us go to shamil.bedru.hassen@gmail.com. Notices to you go to the email address you use with OnRecord, so keep it current. You must be at least 18 and able to form a binding contract where you live.

2. What OnRecord is, and what it is not

OnRecord helps two parties write down what they agreed. The owner (usually a freelancer or agency) creates an agreement, optionally from a pasted call transcript that AI turns into commitment lines. The other party (the counterparty) confirms or disputes each line. When every line is confirmed the record locks, is fingerprinted so later changes are detectable, and a PDF goes to both parties.

OnRecord is not a law firm and gives no legal advice. We are not a party to your agreement, we don’t verify who anyone is beyond their email address, and we make no promise that a locked record is an enforceable contract where you are. That depends on your law and your facts. If the stakes are high, talk to a lawyer.

3. Accounts and links

Owners sign in with a link emailed to them; there are no passwords. Counterparties never sign up: each agreement gets its own private link, valid for 14 days per send. Anyone who holds a link can act on it, so don’t forward yours. You are responsible for what happens through your email inbox and your links.

4. The AI referee and extraction

Commitment extraction and verdicts are generated by AI. Extraction can miss or misstate a commitment, which is why every line is confirmed by both sides before it counts. Read each line before you confirm it: confirming means you agree the line is accurate.

A verdict is the referee’s reading of the confirmed record, shown and emailed to both parties. It is not arbitration, not a legal ruling, and not binding on anyone. It can be wrong. Treat it as a neutral second opinion that helps you settle a disagreement yourselves.

5. Your content and your responsibilities

What you put into OnRecord stays yours. You give us permission to store and process it, and to pass it to the providers named in the Privacy Policy, only as needed to run the service for you and the other party to your agreement.

If you paste a transcript, you confirm you have the right to share it. In some places that means everyone on the call must have agreed to it being recorded or transcribed; getting that consent is your job, not ours. Only enter a counterparty’s name and email if you’re genuinely working with them. Don’t use OnRecord to break the law, to deceive or harass anyone, to send unwanted email, or to attack or overload the service.

6. Price and payment

Your first 3 locked agreements are free. After that, each agreement costs one credit, taken only at the moment it locks: drafts, negotiations that die, amendments, and the first verdict on each agreement cost nothing. Credits come in packs (2 for $8, 5 for $20, 15 for $50) and don’t expire while your account is open. A counterparty’s final confirmation is never blocked for lack of credit, so your balance can go to −1; you’ll need to top up before creating your next agreement.

Payments are processed by Paddle, our merchant of record: the checkout is theirs, the charge on your statement comes from them, and their buyer terms apply to the payment. We never see your card details. The price shown at checkout is the price that applies.

7. Refunds

We refund credits you haven’t used from a pack bought in the last 14 days, and we always fix genuine payment errors. Credits already spent on a locked agreement are not refunded. Paddle can also refund under its own policy, and nothing here removes a refund right the law where you live gives you. The details are in the Refund Policy.

8. Availability and ending things

OnRecord is early software provided as it is, with no uptime guarantee. Keep the PDFs of records that matter to you. You can stop using OnRecord at any time and ask us to delete your account. We may suspend or close an account that breaks section 5. If we shut the service down, we’ll give reasonable notice so you can download your records, and we’ll refund unused credits.

9. Liability

To the extent the law allows, OnRecord comes with no warranties, and we are not liable for indirect or consequential loss, including lost profits or a dispute that goes against you. Our total liability to you in any 12-month period is limited to the greater of what you paid us in that period and USD 100. Nothing here limits liability that cannot lawfully be limited, and if you are a consumer you keep every right your local law gives you.

10. Governing law

These terms are governed by the law of Ethiopia, and disputes are heard in the courts of Ethiopia. If you are a consumer, this does not take away the protection of the mandatory law of the country where you live. Before anything formal, email us: most problems are faster to fix than to litigate. If part of these terms is unenforceable, the rest still applies.

11. Changes

We’ll update these terms as OnRecord changes, and email owners before a material change takes effect. Continuing to use OnRecord after that means you accept the new version.
